1. Agreement to Terms

These Terms of Service ("Terms") are a binding agreement between you and [LEGAL ENTITY NAME], a California [LLC / corporation], doing business as Loadout Ready ("Loadout Ready," "we," "us," "our"), governing your access to and use of loadoutready.com and any purchase you make from us (the "Services").

By browsing the site or placing an order, you accept these Terms. Our Shipping Policy, Return & Refund Policy, and Privacy Policy are incorporated by reference and form part of these Terms.

Section 15 (Dispute Resolution) contains a binding arbitration provision and a class action waiver that affect your legal rights. Please read it carefully.

2. Eligibility and Age Requirement

You must be at least 18 years of age to purchase any product from Loadout Ready, and 21 where local law requires. By placing an order you represent and warrant that:

  • You are of legal age in your jurisdiction to purchase, receive, possess, and use the item;
  • You are purchasing for yourself or as a lawful gift, and not as a straw purchaser for a person who cannot lawfully receive the item;
  • The item is legal to own, possess, and receive at your shipping address;
  • You will not carry, transport, or use the item in violation of any law.

We may require adult signature at delivery, government-issued identification, or a signed compliance certification before shipping. We may refuse or cancel any order and refund it in full.

3. Legal Compliance — Your Responsibility

Knife and edged-tool laws vary by state, county, and city, and they change frequently. Restrictions commonly apply to blade length, opening and locking mechanisms, blade style, and manner of carry.

You alone are responsible for knowing and complying with all federal, state, and local laws that apply to your purchase, possession, transport, carry, and use of any product you buy from us. Product listings, descriptions, categories, and the availability of an item at checkout are not a representation that the item is legal in your jurisdiction. Nothing on this site constitutes legal advice.

If a shipment is seized, destroyed, or refused by a carrier, customs authority, or law enforcement because the item is unlawful at your destination, you are not entitled to a refund.

You agree to indemnify us in full for any claim, penalty, or cost arising from your violation of any law relating to a product purchased from us.

4. Assumption of Risk — Edged and Tactical Products

The products we sell are sharp tools capable of causing serious injury or death. You acknowledge and agree that:

  • You are knowingly and voluntarily purchasing a bladed or tactical product and assume all risk of injury, damage, or loss arising from its possession, handling, use, misuse, storage, sharpening, modification, transport, or resale;
  • You will keep these products secured and out of the reach of children and unauthorized persons;
  • You will use them only for lawful purposes, and never for self-defense instruction, combat, threat, or any unlawful act;
  • You will follow all manufacturer instructions and warnings;
  • We are not liable for injury or damage caused by use, misuse, or abuse of a product, or by a product that has been sharpened, modified, disassembled, or altered after delivery.

Do not throw, pry with, hammer on, or otherwise misuse a knife that is not designed for it. Blade breakage from misuse is not a defect.

5. Products, Descriptions, and Pricing

We make reasonable efforts to describe and picture products accurately, but we do not warrant that descriptions, specifications, dimensions, steel types, weights, colors, images, or pricing are error-free, complete, current, or reliable. Product photos are representative; actual finishes, grinds, handle patterns, and blade markings may vary by production run. Colors may render differently on different displays.

We reserve the right to correct errors and to refuse or cancel any order placed at an incorrect price, even after the order is confirmed and your payment method charged. If we cancel for a pricing error, we will notify you and issue a full refund.

Product availability, pricing, and promotional offers are subject to change without notice. We may limit quantities per customer, per household, or per order, and may discontinue any product at any time.

6. Orders and Acceptance

Your submission of an order is an offer to purchase, not a binding contract. Our order confirmation email acknowledges receipt only. A contract forms when we ship the item. We may accept, decline, limit, or cancel any order in whole or in part at our sole discretion, including for:

  • Suspected fraud or unauthorized use of a payment method
  • Pricing, listing, or inventory errors
  • Failed age, identity, or address verification
  • Shipping destinations where the item is restricted
  • Suspected resale in violation of a brand's authorized-dealer terms
  • Prior return abuse or chargeback activity

7. Payment and Taxes

You represent that you are authorized to use any payment method you submit and that the billing information is accurate. You authorize us to charge the total order amount, including shipping and tax, to that method.

We accept the payment methods displayed at checkout. All prices are in U.S. dollars. Sales tax is calculated at checkout based on your shipping address.

If a payment is reversed, declined, or charged back, you remain liable for the amount owed plus any fees we incur, and we may suspend your account and withhold future orders.

8. Accounts

If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

9. Prohibited Uses

You may not:

  • Use the Services for any unlawful purpose or to solicit others to perform unlawful acts
  • Purchase products for unlawful resale, export, or transfer to a prohibited person or jurisdiction
  • Submit false information, including false age or eligibility certifications
  • Infringe our or any third party's intellectual property
  • Harass, abuse, defame, or threaten our staff or other customers
  • Submit viruses, malicious code, or attempt to interfere with the security or operation of the site
  • Scrape, spider, data-mine, or harvest content, pricing, or images by automated means
  • Circumvent any age verification, shipping restriction, or purchase-limit control
  • Impersonate another person or misrepresent your affiliation

Violation may result in immediate termination of your access.

10. Intellectual Property

The site and its content — text, graphics, logos, layout, photography, video, and code — are owned by us or our licensors and protected by U.S. and international intellectual property law. You may not reproduce, distribute, modify, or create derivative works without our prior written permission.

Third-party trademarks. Brand names and logos, including Kershaw, Buck Knives, KA-BAR, CRKT, Gerber, Civivi, Al Mar, Browning, and Schrade, are the property of their respective owners and are used solely to identify the products we offer. Loadout Ready is a retailer and is not the manufacturer of the products it sells, and is not affiliated with, endorsed by, or sponsored by those manufacturers except as expressly stated.

11. User Content and Reviews

If you submit reviews, photos, comments, or other content, you grant us a non-exclusive, royalty-free, perpetual, worldwide, transferable, sublicensable license to use, reproduce, modify, publish, and display that content in any medium, including marketing, without compensation or attribution.

You represent that your content is your own, is accurate, does not infringe any third party's rights, and is not unlawful, obscene, defamatory, or abusive. We may edit, refuse, or remove any submission at our discretion, but have no obligation to monitor content. You agree not to submit content that impersonates another person or misrepresents your relationship to us.

12. Third-Party Links and Services

The site may link to third-party sites or integrate third-party services (payment processors, shipping carriers, review platforms, chat tools). We are not responsible for their content, products, policies, or practices. Your dealings with them are solely between you and them.

13. Disclaimer of Warranties

THE SERVICES AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that results will be accurate or reliable, or that defects will be corrected.

Manufacturer warranties. Products may be covered by a limited warranty from the manufacturer, administered by the manufacturer. Those warranties are the manufacturer's alone. Nothing in this section limits any manufacturer warranty or any non-waivable right you have under applicable consumer law, including the California Song-Beverly Consumer Warranty Act.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOADOUT READY AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, including lost profits, lost data, personal injury, property damage, or business interruption, arising from or relating to your use of the Services or any product purchased, whether based in contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THESE TERMS, THE SERVICES, OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. Nothing here limits liability that cannot be limited by law, including liability for fraud or for death or personal injury caused by our gross negligence or willful misconduct.

15. Dispute Resolution and Arbitration

Please read this section carefully — it affects how disputes between us are resolved.

Informal resolution first. Before filing a claim, you agree to contact us at loadoutready@gmail.com and give us 60 days to resolve the issue informally. Most disputes are resolved this way.

Binding arbitration. If we cannot resolve the dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be held in Contra Costa County, California, or by videoconference or on documents at your election. The arbitrator's award may be entered as a judgment in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.

Class action waiver. YOU AND WE AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any representative proceeding.

Your right to opt out. You may reject this arbitration agreement by emailing loadoutready@gmail.com with the subject line Arbitration Opt-Out within 30 days of your first purchase, including your name, address, and order number. Opting out does not affect any other part of these Terms.

Jury trial waiver. If for any reason a claim proceeds in court rather than arbitration, you and we each waive any right to a jury trial, to the extent permitted by law.

16. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Subject to Section 15, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Contra Costa County, California.

17. Indemnification

You agree to indemnify, defend, and hold harmless Loadout Ready and its owners, officers, employees, agents, and suppliers from any claim, demand, loss, liability, damage, penalty, or expense (including reasonable attorneys' fees) arising from or relating to: (a) your breach of these Terms; (b) your violation of any law or the rights of a third party; (c) your possession, use, misuse, transport, carry, storage, modification, or resale of any product purchased from us; and (d) any injury or damage you cause with a product purchased from us.

18. Termination

These Terms remain in effect until terminated. You may terminate by ceasing use of the Services and closing your account. We may terminate or suspend your access at any time, without notice, for any reason, including breach of these Terms. Obligations incurred before termination — including payment obligations, Sections 3, 4, 13, 14, 15, and 17 — survive termination.

19. General Provisions

  • Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions remain in full force.
  • No waiver. Our failure to enforce any right or provision is not a waiver of it.
  • Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
  • Force majeure. We are not liable for delay or failure to perform due to causes beyond our reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, labor action, carrier failure, supply-chain disruption, utility or internet outage, or governmental action.
  • Entire agreement. These Terms and the policies incorporated by reference constitute the entire agreement between us and supersede any prior agreements or communications.
  • Headings. Section headings are for convenience only and have no legal effect.
  • Notices. We may provide notice by email to the address on your account or by posting to the site. Send notices to us at loadoutready@gmail.com.

20. Electronic Communications and Consent

By providing your email address or phone number, you consent to receive communications from us electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that they be in writing.

SMS: If you opt into text messages, you consent to receive recurring automated marketing texts at the number provided. Consent is not a condition of purchase. Message and data rates may apply. Reply STOP to cancel, HELP for help.

21. Feedback

Any suggestions, ideas, or feedback you send us are non-confidential, and we may use them for any purpose without compensation or obligation to you.

22. Copyright Complaints

If you believe content on our site infringes your copyright, send a notice under the DMCA to loadoutready@gmail.com including: identification of the work, the location of the allegedly infringing material, your contact information, a statement of good-faith belief, a statement under penalty of perjury that the information is accurate and you are authorized to act, and your physical or electronic signature.

23. Accessibility

We are committed to making our site accessible to all users and work toward conformance with WCAG 2.1 Level AA. If you encounter a barrier, email loadoutready@gmail.com and we will assist you and work to fix the issue.

24. Changes to These Terms

We may revise these Terms at any time by posting an updated version with a new "Last updated" date. Changes are effective when posted. Your continued use of the Services after changes constitutes acceptance. The version in effect when you place an order governs that order.
